Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SocialRouter platform, including the API, dashboard, documentation, and all related services. By creating an account or using the service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. "You" and "your" refer to that entity.

1. Definitions

  • "Service" means the SocialRouter platform, including the REST API, dashboard, MCP server, SDKs, documentation, and any associated tools or features.
  • "Customer," "you," "your" means the individual or entity that has agreed to these Terms.
  • "SocialRouter," "we," "us," "our" means SocialRouter, operated by Anders Hoffmann, Denmark, EU.
  • "Connected Account" means a social media account that you have authorized SocialRouter to access via OAuth.
  • "Content" means any text, images, video, or other material that you create, upload, or publish through the Service.
  • "End User" means any person who accesses or uses the Service through your integration or product.

2. Service Description

SocialRouter provides a unified API for publishing content to, and retrieving data from, multiple social media platforms. The Service includes content scheduling, analytics, media processing, webhook notifications, and related functionality as described in our documentation.

The Service is designed for business-to-business use. You are responsible for your own integration, your end users, and all content published through your account.

3. Account Terms

3.1 Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials, API keys, and OAuth tokens.

3.2 Account Security

You must notify us immediately at security@socialrouter.eu if you become aware of any unauthorized access to your account. You are responsible for all activity that occurs under your account, including actions taken by your end users.

3.3 API Keys

API keys are confidential credentials. You must not share, publish, or embed API keys in client-side code, public repositories, or any location accessible to unauthorized parties. You are liable for all API usage associated with your keys.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including GDPR, the EU Digital Services Act, or platform-specific terms of service
  • Publish spam, unsolicited bulk messages, or automated engagement manipulation
  • Distribute malware, phishing content, or deceptive material
  • Infringe on the intellectual property rights of others
  • Publish content that promotes violence, hate speech, harassment, or exploitation
  • Circumvent rate limits, usage quotas, or other technical restrictions
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell or sublicense the Service without our written agreement
  • Use the Service in any way that could damage, disable, or impair it

We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice depending on the severity of the violation.

5. Billing & Refunds

5.1 Subscription Plans

The Service is offered under three tiers — Starter, Business, and Enterprise — as described on our pricing page. Each plan includes a base allocation of connected accounts. Usage beyond the included allocation is billed as per-account overage at the rate specified in your plan.

5.2 Billing Cycles

Subscriptions are billed in advance on a quarterly or yearly basis, depending on the billing cycle you select. Yearly subscriptions receive a 25% discount. All prices are in euros (EUR) and exclude applicable VAT, which will be added where required by law.

5.3 Payment

Payment is processed by Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method. If payment fails, we will notify you and may suspend access to the Service after a 7-day grace period.

5.4 Overage Billing

If you exceed the connected accounts included in your plan, overage charges apply at the per-account rate for your tier. Overage is calculated and billed at the end of each billing cycle.

5.5 Refund Policy

All plans include a 30-day money-back guarantee. If you are not satisfied within the first 30 days of your initial subscription, contact us for a full refund. After the 30-day period, subscription fees are non-refundable. Partial-period refunds are not available for mid-cycle cancellations; your access will continue until the end of the paid billing period.

5.6 Plan Changes

You may upgrade your plan at any time. Upgrades take effect immediately, with the price difference prorated for the remainder of your billing cycle. Downgrades take effect at the start of the next billing cycle.

5.7 Professional Services

Integration assistance and custom development are available at the rate published on our pricing page. Professional services are billed separately and are non-refundable once delivered.

6. Intellectual Property

6.1 Your Content

You retain all ownership rights to the content you create and publish through the Service. By using the Service, you grant SocialRouter a limited, non-exclusive licence to process, store, and transmit your content solely for the purpose of operating the Service (e.g., publishing posts to social media platforms on your behalf).

6.2 Our Service

SocialRouter and its licensors retain all rights, title, and interest in the Service, including the API, software, documentation, trademarks, and all related intellectual property. These Terms do not grant you any rights to use SocialRouter trademarks or branding without our written consent.

6.3 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, we may use that feedback without restriction or obligation to you.

7. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring that your use of the Service, including any content published through it, complies with applicable data protection laws (including GDPR) and the terms of service of each connected social media platform.

Where you process personal data of your end users through the Service, you act as the data controller and SocialRouter acts as a data processor. A Data Processing Agreement (DPA) is available upon request.

8. Availability & SLAs

We strive to maintain high availability of the Service. Enterprise plan customers receive a 99.9% uptime SLA as described in their service agreement.

For Starter and Business plans, we target high availability but do not guarantee specific uptime percentages. We will use commercially reasonable efforts to minimize downtime and will communicate planned maintenance in advance.

The Service depends on third-party social media platform APIs. We are not responsible for outages, rate limits, or API changes imposed by those platforms.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • SocialRouter shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunities, regardless of the cause of action.
  • Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to SocialRouter in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable EU law, including mandatory consumer protection rights.

10. Indemnification

You agree to indemnify and hold SocialRouter harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service or any content published through your account
  • Your violation of these Terms or any applicable law
  • Your infringement of any third-party rights, including intellectual property rights
  • Any claim by your end users related to your use of the Service

11. Termination

11.1 By You

You may cancel your subscription at any time from the dashboard or by contacting us. Cancellation takes effect at the end of the current billing period. Your access to the Service will continue until then.

11.2 By Us

We may suspend or terminate your access to the Service:

  • Immediately, if you materially breach these Terms (including acceptable use violations)
  • With 30 days' notice, for any other reason
  • Immediately, if required by law or to protect the security of the Service or other customers

11.3 Effect of Termination

Upon termination:

  • All OAuth tokens and connected accounts are immediately revoked
  • Scheduled but unpublished posts are cancelled
  • You may request an export of your data within 30 days of termination
  • After 30 days, all account data is permanently deleted in accordance with our Privacy Policy
  • Outstanding fees remain due and payable

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to all registered users at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

If you are a consumer within the EU, you retain any mandatory protections provided by the laws of your country of residence.
